These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Integrated Commercial Systems, LLC ("ICS," "we," "our," or "us"). By accessing or using our website located at icsgov.com (the "Site") or the ICS Seek procurement platform (the "Platform"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accessing or using the Site or Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include both you individually and that organization.
If you do not agree to these Terms, you must immediately cease all use of the Site and Platform.
ICS operates a marketing website providing information about our federal and DOD procurement services, and the ICS Seek platform, a software-as-a-service (SaaS) procurement intelligence tool designed for federal contractors and government agencies. The Platform provides procurement opportunity identification, compliance monitoring, vendor management, and related analytical features.
ICS reserves the right to modify, suspend, or discontinue the Site or any feature of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuance.
Subject to your compliance with these Terms, ICS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Platform for your internal business purposes related to federal government contracting.
You agree to use the Site and Platform only for lawful purposes and in accordance with all applicable federal, state, and local laws and regulations, including those governing export controls, procurement integrity, and government contracting ethics.
You may not use the Site or Platform to:
Access to the ICS Seek Platform requires creation of a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify ICS immediately at support@icsgov.com if you suspect any unauthorized use of your account or any other security breach.
ICS reserves the right to suspend or terminate accounts that violate these Terms, are suspected of fraudulent activity, or have been inactive for an extended period.
All content on the Site and within the Platform, including but not limited to text, graphics, logos, icons, images, software code, data compilations, and interface design, is the exclusive property of ICS or its content suppliers and is protected by applicable copyright, trademark, patent, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Site or Platform without the prior written consent of ICS, except that you may download and print materials for your personal, non-commercial business use.
You retain ownership of any data or content you upload to the Platform. By uploading such content, you grant ICS a non-exclusive license to process and display that content as necessary to provide the Platform services.
THE SITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ICS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ICS does not warrant that the Site or Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Procurement data and opportunity information provided through the Platform is derived from public sources including SAM.gov and USASpending.gov. While ICS strives for accuracy, we do not guarantee the completeness, accuracy, timeliness, or fitness for any particular purpose of such data. You are responsible for independently verifying any procurement information before making business decisions.
Nothing in these Terms constitutes legal advice. For questions about federal acquisition law or regulatory compliance, you should consult a qualified attorney or certified acquisition professional.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ICS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PLATFORM, EVEN IF ICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ICS's total cumulative liability to you for any and all claims arising out of or relating to these Terms or the Site and Platform shall not exceed the greater of (a) the total fees paid by you to ICS in the twelve months preceding the claim, or (b) one hundred dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, ICS's liability shall be limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless ICS, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit to the Platform.
ICS may terminate or suspend your access to the Site or Platform immediately, without prior notice or liability, if you breach any provision of these Terms. Upon termination, your right to use the Site and Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 7, 8, 9, 11, and 13.
You may terminate your Platform account at any time by contacting support@icsgov.com. Termination of your account does not relieve you of any payment obligations incurred prior to termination.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the Site and Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Arlington County, Virginia, and you consent to personal jurisdiction in those courts.
Notwithstanding the foregoing, ICS retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain any breach or threatened breach of these Terms.
Any claims must be brought within one (1) year of the date the cause of action accrued, after which such claims are permanently barred.
ICS reserves the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on this page with a revised "Last Updated" date. For significant changes, we will provide notice through the Platform or by email to registered users. Your continued use of the Site or Platform after the effective date of any modification constitutes your acceptance of the revised Terms.

These Terms, together with the Privacy Policy and any applicable Platform subscription agreement, constitute the entire agreement between you and ICS with respect to your use of the Site and Platform, superseding any prior agreements.
